Governance and leadership

Good governance leads to good business performance. Bad governance increases the risk of failure – in any sector or type of organisation. Counterculture advise on governance to a range of charities, limited companies, community interest companies, and associations. We understand that effective systems of governance are proportionate to the risks and requirements of each specific business – there’s no one-size-fits-all model. Control is important but not at the expense of unnecessary and damaging bureaucracy.

Counterculture carry out full governance reviews – health checks of existing governance systems. We can also help with particular areas of governance such as reviewing the strengths of an organisation’s board and recruiting new trustees or directors. We provide training in governance, induction and facilitation for boards of trustees. We can produce a new code of governance to work as an internal bible for an organisation and help organisations assess the options for their corporate structure. We’ve helped to set up new organisations – and reorganise existing ones, including company incorporations and charity registration. We provide mentoring for chairs, trustees and chief executives. And we carry out reviews of organisation’s company secretarial function – including an assessment of legal compliance with key legislation and best practice.

Before any governance work we meet with the organisation’s leadership to understand exactly what they want to achieve, and gather detailed background information so that we understand the context. The end result is usually a written report that sets out in detail our findings and recommendations. Counterculture is a member of Charity Law Association.
